Terms of Use

These Terms govern your use of Saidly. Please read them carefully, including the sections on automatic renewal, billing disputes, AI output accuracy, and limitation of liability.

1. Acceptance of these terms

These Terms of Use are a contract between you and Woodfire Digital, LLC ("Saidly", "we", "us") that governs your use of Saidly. By creating an account, starting a trial, or using the service, you agree to these Terms and to our Privacy Policy. If you are using Saidly on behalf of an organization, you represent that you are authorized to bind that organization.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use Saidly. The service is intended for business use.

3. The service

Saidly queries third-party AI models and assistants about an entity or topic you choose to track, analyzes their responses, and delivers reports on a recurring schedule (monthly, weekly, or daily depending on your plan) and on demand. Features, limits, and the AI models covered may change over time.

4. Accounts and security

You sign in with a one-time link sent to your email, so keep your email account secure. You are responsible for activity under your account and for the people you invite or add as report recipients. Notify us promptly of any unauthorized use.

5. Subscriptions, billing, and renewal

Paid plans are offered on a monthly or yearly basis and are billed in advance through our payment provider, Paddle, which acts as the merchant of record and seller for your purchase and handles billing and applicable taxes. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. At checkout we show the renewal terms next to where you confirm your purchase and obtain your affirmative consent, and we send a confirmation after you subscribe. By subscribing, you authorize us and Paddle to charge your payment method for each renewal.

Prices are shown exclusive of taxes unless stated otherwise, and you are responsible for applicable taxes. We may change prices for future billing periods with advance notice.

6. Free trial

We may offer a 30-day free trial. The free trial is limited to one per customer. We may use your email address and other signals to enforce this and to prevent abuse, and we may decline or end a trial we believe is being used to evade this limit. Unless you cancel before the trial ends, your paid subscription begins automatically at the end of the trial at the plan price you selected, billed monthly or yearly as chosen. We will send a reminder before your trial converts to a paid subscription.

7. Cancellation and refunds

You can cancel at any time, on your own, from your account settings, using the same simple process you used to subscribe. Cancellation stops future renewals, and you keep access until the end of the current billing period. Our Refund Policy explains when a charge can be refunded, including the 14-day window on annual plans and how we handle unexpected charges. Except as described there or required by law, payments are non-refundable and we do not provide prorated refunds for partial periods.

8. EU and UK consumer withdrawal right

If you are a consumer in the EEA or UK, you normally have 14 days to withdraw from a distance contract. Because Saidly is digital content and a service that begins immediately, by starting your subscription or trial you request that we begin performance during the withdrawal period and acknowledge that you lose the right of withdrawal once performance has begun, to the extent permitted by law. This does not affect your statutory rights.

9. Billing disputes

If you believe a charge is incorrect or you would like a refund, please contact us first at support@saidly.ai so we can resolve it quickly. You agree to give us a reasonable chance to help before initiating a chargeback or payment dispute with your bank or card issuer, since most issues can be fixed faster directly. Nothing here waives any rights you have under your card network's rules or applicable law; we simply ask that you come to us first.

10. Acceptable use

No illegal use

You may not use Saidly for any purpose that is illegal or that facilitates illegal activity. This includes, without limitation, fraud, money laundering, infringement of intellectual-property or privacy rights, violation of export-control or sanctions laws, unauthorized access to computer systems, distribution of malware, and any activity prohibited by the laws that apply to you or to us. You are responsible for complying with all laws that apply to your use of the service and to the entities you choose to track.

No adult, sexual, or otherwise harmful content

You may not use Saidly to generate, request, solicit, store, or distribute:

You also may not use Saidly to track, profile, or surveil a private individual in a way that violates privacy, anti-stalking, or harassment laws. Saidly is not a consumer reporting agency, and its reports are not "consumer reports" under the Fair Credit Reporting Act (FCRA). You may not use the service or its reports, in whole or in part, to decide a person's eligibility for employment, credit, insurance, housing, or any other purpose covered by the FCRA or similar laws.

We may investigate suspected violations, and we may remove content and suspend or terminate access immediately, with or without notice, for any violation of this section. We may report unlawful activity to the appropriate authorities. We are not liable for action taken in good faith to enforce these Terms or to comply with the law.

11. Your content

You retain ownership of the entities, settings, and other content you provide. You grant us a limited license to host and process that content to operate the service and generate your reports. You are responsible for having the right to track the entities you choose.

12. AI outputs and accuracy

Saidly reports convey statements produced by third-party AI models. Those statements are generated by the models, are third-party content that we relay without adopting or endorsing it, and may be inaccurate, outdated, or incomplete. We do not verify them and do not guarantee their accuracy. Reports are provided for informational purposes only and are not legal, financial, reputational, or professional advice. You are responsible for how you use them.

13. Intellectual property

Saidly, including the software, design, and trademarks, is owned by Woodfire Digital, LLC and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the service while your subscription is active. All rights not granted are reserved.

14. Disclaimer of warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that reports will be accurate or complete.

15. Limitation of liability

To the maximum extent permitted by law, Woodfire Digital, LLC and its owners and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim or 100 US dollars. Nothing in these Terms limits liability that cannot be limited by law, such as for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow these limits, so they may not apply to you.

16. Indemnification

You agree to indemnify and hold Woodfire Digital, LLC harmless from claims, damages, and expenses, including reasonable legal fees, arising out of your use of the service, your content, your violation of these Terms or applicable law, or claims by a third party (including a tracked entity) relating to your use or republication of reports, including defamation, privacy, and intellectual-property claims.

17. Termination

You may stop using Saidly at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the service. Sections that by their nature should survive termination will survive, including payment obligations, disclaimers, and limitations of liability.

18. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Ohio have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to venue there. If you are a consumer, this choice of law and forum applies only to the extent permitted by the mandatory law of your home jurisdiction, and you keep the protections of that law.

19. General

If any provision of these Terms is held unenforceable, the rest remains in effect and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and us about the service.

20. Changes to these terms

We may update these Terms from time to time. When we make material changes we will update the effective date above and, where appropriate, notify you. Your continued use of Saidly after an update means you accept the revised Terms.
